Global Shipping Giant DHL Cleared to Acquire Three South African Logistics Firms

The Competition Tribunal has granted German shipping giant DHL approval to acquire three South African logistics firms of the Vital Group , following the initial announcement of the takeover in March.

The deal has been unconditionally approved, which will see DHL South Africa acquiring full ownership of the three firms and assuming sole control over them upon completion.

The Context

The approval comes as DHL announced an investment of R6 billion in its African operations in October 2025. The Competition Commission stated that the transaction does not raise public interest concerns.

Hennie Heymans , CEO of Sub-Saharan Africa for DHL, explained that the company wants to capitalise on growing trade in the region, with South Africa as the cornerstone.

“As trade expands, businesses are asking for predictable transit times, consistent delivery performance, and support that understands local conditions.”

“By raising the bar on service and proximity, we will help more African companies trade efficiently and compete on a bigger stage.”

The Three Companies

The three Vital Group companies represent a local logistics network, vehicles, and a staffing solutions provider that will be folded into DHL’s broader operations in South Africa.

  • Vital Distribution: Road-based transport, distribution, and warehousing services

  • Staffing Logistics: Temporary employment services to transport, retail, hospitality, and cleaning sectors

  • Vital Fleet: Fleet rental and management services

Growing Demand

Sub-Saharan Africa was a global leader in trade value expansion in the first half of 2025, with year-on-year growth of 10% the second-fastest region globally.

Orkun Saruhanoglu , CEO of supply chain for the Middle East and Africa, said: “We are seeing growing demand for specialised, outsourced logisticsparticularly in life sciences, healthcare, and across the transport sector.”

“By adding capacity, strengthening transport-led solutions and applying our contract logistics expertise, we will help customers improve service quality, manage risk and scale with confidence.”

DHL’s Confidence

John Pearson , CEO of DHL Express, said greater investment reflects the company’s confidence in the African market and its growing trade opportunities, despite global volatility.
